Definitions

• Lead generation services, including but not limited to lead capture, nurturing, and conversion strategies.
• Search engine optimization (SEO) services, including but not limited to on-page optimization, technical SEO, and link building.
• Video production services, including but not limited to scripting, filming, editing, and post-production.

 

The Company’s services are available globally, subject to applicable laws and regulations in the respective jurisdictions.

Limitation of Liability

• User’s violation of any applicable laws or regulations;
• User’s unauthorized use or misuse of the Website or its content; or
• Any content, data, or information provided by User to the Website.

 

Indemnification Process. In the event of any claim or potential claim for which indemnification may be sought, the indemnified party shall promptly notify the indemnifying party in writing, and the indemnifying party shall have the sole right to control the defense and settlement of such claim, provided that the indemnified party shall have the right to participate in such defense or settlement at its own expense. The indemnified party shall cooperate fully with the indemnifying party in the defense or settlement of any such claim.

Limitation of Liability. IN NO EVENT SHALL VIACON MARKETING & TECHNOLOGIES FZCO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS OR SERVICES, LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE THE WEBSITE OR ANY CONTENT OR SERVICES AVAILABLE THEREON, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VIACON MARKETING & TECHNOLOGIES FZCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

Term and Termination

Term. This Agreement shall remain in full force and effect until terminated in accordance with the provisions set forth herein.

Termination by Website Owner/Operator. Viacon Marketing & Technologies FZCO reserves the right, in its sole discretion, to terminate or suspend your access to the Website and the related services or any portion thereof at any time, without notice, for any reason or no reason.

 

Termination by User/Visitor. You may terminate your use of the Website and the related services at any time by discontinuing access to the Website.

 

Effects of Termination.

Upon termination of this Agreement for any reason, your right to access and use the Website and the related services shall immediately cease.

Termination of this Agreement shall not relieve either party of any obligations or liabilities that have accrued prior to the effective date of termination.

The provisions of this Agreement that are intended to survive termination, including but not limited to those relating to intellectual property rights, indemnification, limitation of liability, and governing law, shall remain in full force and effect after termination.

 

Suspension of Access. Viacon Marketing & Technologies FZCO reserves the right, in its sole discretion, to suspend or restrict your access to the Website and the related services, temporarily or permanently, at any time, without notice, for any reason or no reason, including but not limited to violations of this Agreement, security concerns, or maintenance purposes.

 

 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without giving effect to any principles of conflicts of law.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, United Arab Emirates.

Before resorting to litigation, the parties shall attempt to resolve any disputes through good faith negotiations or mediation. If the dispute cannot be resolved through negotiations or mediation within sixty (60) days, either party may proceed to file a claim in the appropriate court as specified in this Clause.

The parties hereby irrevocably waive any and all rights to a trial by jury in any legal proceeding arising out of or relating to this Agreement.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the intent and purpose of the original provision.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

This Agreement is written and shall be interpreted in the English language. In the event of any conflict or inconsistency between the English version and any translated version, the English version shall prevail.

 

Miscellaneous Provisions

 

Severability:

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the intent and purpose of the original provision.

 

Entire Agreement:

These Terms of Use, together with any documents or policies referenced herein, constitute the entire agreement between Viacon Marketing & Technologies FZCO and Users/Visitors regarding the subject matter and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

 

Non-Waiver:

The failure of Viacon Marketing & Technologies FZCO to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. No waiver by Viacon Marketing & Technologies FZCO of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.

Assignment: Users/Visitors may not assign or transfer their rights or obligations under these Terms of Use without the prior written consent of Viacon Marketing & Technologies FZCO. Viacon Marketing & Technologies FZCO may assign or transfer its rights and obligations under these Terms of Use without restriction.

 

Force Majeure:

Neither party shall be liable for any delay or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, acts of government, acts of terrorism, natural disasters, fire, floods, labor disputes, or disruptions in telecommunications or internet services.

 

Notices:

Any notice or communication required or permitted under these Terms of Use shall be in writing and shall be deemed to have been duly given if delivered by hand, sent by registered or certified mail, return receipt requested, or sent by a nationally recognized overnight courier service, to the respective addresses of the parties as provided on the Website or as otherwise communicated in writing.

 

Amendments:Viacon Marketing & Technologies FZCO reserves the right to modify or update these Terms of Use at any time, and such modifications or updates shall be effective immediately upon posting on the Website. Users/Visitors are responsible for periodically reviewing these Terms of Use for any changes.

 

Governing Law and Jurisdiction:

These Terms of Use shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts located in Dubai, United Arab Emirates.

 

Relationship of the Parties:

The relationship between Viacon Marketing & Technologies FZCO and Users/Visitors is that of independent contractors. Nothing in these Terms of Use shall be construed as creating a partnership, joint venture, employment, or agency relationship between the parties.

 

By accessing or using the Website, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use.
